Legal Notice

The present provisions regulate the use of the Internet portal service (hereinafter, the ‘Portal’) that PRISMA PAYMENTS EP SA. (hereinafter, PRISMA) makes available to Internet users.

PRISMA, with registered office at Calle Leganitos 47 9ª Planta, 28013 Madrid, Spain and C.I.F. number A-85785905, is registered in the Mercantile Registry of Madrid, Volume 27111, Folio 157, Section 8, Page M-488476, inscription I/A 1º, Telephone: 91 787 62 00 Email: info@prismapay.com.

Access to the website is free of charge except for the cost of the connection through the telecommunications network provided by the access provider contracted by the users.

The use of the website attributes the condition of user of the Portal (hereinafter, the ‘User’) and implies acceptance of all conditions included in this Legal Notice. The provision of the service is limited to the time at which the User is connected to the website or any of the services provided through it. Therefore, the User must carefully read this Legal Notice each time he/she intends to use our website, as it and its conditions of use contained in this Legal Notice may be subject to change.

2. Intellectual and industrial property

All content, including but not limited to text, photographs, graphics, images, icons, technology, software, links and other audiovisual or audio content, as well as graphic design and source codes (hereinafter, the ‘Content’), are the intellectual property of PRISMA, and none of the exploitation rights recognized by current legislation on intellectual property on the same may be understood to be transferred to the User, except those that are strictly necessary for the use of the website.

The trademarks, trade names or distinctive signs, including the Prisma brand, are owned by PRISMA or third parties, without it being understood that access to the website attributes any right over said trademarks, trade names and/or distinctive signs.

3. Conditions of use of the portal

3.1 General

The User undertakes to make proper use in accordance with the Law and this Legal Notice. The User shall be liable to PRISMA or third parties for any damages that may be caused as a result of a breach of this obligation.

It is expressly forbidden to use the website for purposes harmful to property or interests of PRISMA or third parties or in any other way overload, damage or disable the networks, servers and other computer equipment (hardware) or products and applications (software) of PRISMA.

3.2 Contents

The User agrees to use the Contents in accordance with the Law and this Legal Notice, as well as with the other conditions, regulations and instructions. By way of example, the User, in accordance with current legislation, shall refrain from:

a) Reproduce, copy, distribute, make available, publicly communicate, transform or modify the Contents except in cases authorized by law or expressly consented to by PRISMA or by whoever holds the ownership of the exploitation rights, as the case may be.
b) Reproduce or copy for private use the Contents that may be considered as Software or Database in accordance with the current legislation on intellectual property, as well as its public communication or making it available to third parties when these acts necessarily imply the reproduction by the User or a third party.
c) Extract and/or reuse all or a substantial part of the Contents of the Portal.

3.3 Data collection forms

Without prejudice to the provisions of this Legal Notice, as well as the privacy policies accessible from the website of PRISMA and that may be applicable at any time, the use of certain services or requests addressed to PRISMA are conditioned to the prior completion of the corresponding User registration.

All information provided by the User through the existing forms for the above purposes or any other must be truthful. For these purposes, the User guarantees the authenticity of all data provided and will keep the information provided to PRISMA perfectly updated so that it corresponds, at all times, to the real situation of the User. In any case, the User shall be solely responsible for any false or inaccurate statements made and the damages caused to the entity by the information provided.

5. Reporting of activities of an illegal and inappropiate nature

In the event that the User or any other Internet user becomes aware that the Linked Sites refer to pages whose content or services are illegal, harmful, denigrating, violent or contrary to morality may contact PRISMA indicating the following:

a) Personal data of the caller: name, address, telephone number and e-mail address.
b) Description of the facts that reveal the illicit or inadequate nature of the Linked Site.
c) In the case of violation of rights, such as intellectual and industrial property, the personal data of the holder of the infringed right when it is a person other than the communicating party. Likewise, the title accrediting the legitimacy of the holder of the rights and, if applicable, that of representation to act on behalf of the holder when it is a person other than the communicating party must be provided.
d) Express declaration that the information contained in the claim is accurate.

The receipt by PRISMA of the communication provided for in this clause does not imply, according to the provisions of the LSSI, the effective knowledge of the activities and / or contents indicated by the caller.

Likewise, the title accrediting the legitimacy of the holder of the rights and, if applicable, that of representation to act on behalf of the holder when it is a person other than the communicating party, must be provided.

6. Jurisdiction

The relations established between PRISMA and the User shall be governed by the provisions of current Spanish legislation. The User, expressly waiving any other jurisdiction that may correspond to them, shall submit any disputes and / or litigation to the Courts and Tribunals of the city of Madrid.

Internal Information System Policy

Law 2/2023, of February 20, regulating the protection of persons who report regulatory violations and the fight against corruption, incorporates Directive (EU) 2019/1937 of the European Parliament and the Council of October 23, 2019, into Spanish law. This directive establishes a homogeneous regulatory framework across the European Union to ensure legal security and protection for those who, in the course of their professional or work activities, detect irregularities or legal breaches and report them through the appropriate channels.

The main objective of this regulation is to protect whistleblowers from possible retaliation due to their reports, ensuring the existence of appropriate mechanisms for handling such information and promoting a culture of transparency and regulatory compliance within organizations. To this end, the law requires the implementation of internal reporting channels that allow the secure communication of alleged violations, guaranteeing whistleblower confidentiality and expressly prohibiting any form of direct or indirect retaliation.

In compliance with these legal obligations, the Board of Directors of Prisma Payments EP, S.A. (hereinafter, “Prisma”) has approved this Policy on the Internal Reporting System (hereinafter, “Internal Reporting System”). This policy is part of the entity’s internal regulatory framework, aligning with its commitment to transparency, business ethics, and regulatory compliance.

Through this policy, Prisma regulates its Internal Reporting System, ensuring compliance with the principles and guarantees established by applicable laws. This reinforces Prisma’s commitment to preventing, detecting, and managing possible regulatory breaches, fostering an environment where individuals can report irregularities without fear of retaliation, thereby contributing to a corporate culture based on legality, integrity, and corporate responsibility.

For matters not expressly regulated in this policy, the provisions of Law 2/2023, of February 20, on the protection of persons who report regulatory violations and the fight against corruption, shall apply subsidiarily. In case of any contradiction between the content of this policy and the imperative provisions of the law, the latter shall prevail.
